Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and W.D. Data Solution LLC (“Prospekt,” “we,” “us,” or “our”), governing your use of the Prospekt mobile app and the prospektsports.com website (together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & Accounts

• You must provide accurate account information and keep it up to date. You are responsible for activity that happens under your account and for keeping your login credentials secure.
• Minors. Children under 13 may not create their own accounts; a parent or guardian must create and manage the account and add the child as a managed player. Users aged 13–17 must have a parent or guardian who is aware of and consents to their use of the Service. If you create or manage a profile for another person (such as your child or a player on your team), you represent that you are authorized to do so and to provide their information.

2. License to Use the Service

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own non-commercial player-development purposes. You may not copy, resell, reverse-engineer, or attempt to extract the source code of the Service, except to the extent this restriction is prohibited by law.

3. Your Content & Data

You retain ownership of the game data, statistics, notes, and video you record (“Your Content”). You grant us the limited rights needed to host, process, and display Your Content in order to operate and provide the Service to you — for example, storing your data, calculating your statistics, and generating development reports at your request. Our handling of your personal information is described in our Privacy Policy.

4. Acceptable Use

You agree not to:

• Use the Service in violation of any law or the rights of others;
• Upload content you do not have the right to use, or that infringes another person’s intellectual-property or privacy rights;
• Record or upload another person’s data or likeness without the authority or consent to do so;
• Attempt to disrupt, overload, or gain unauthorized access to the Service or its systems.

5. Imported Data

The Service may let you import statistics from a spreadsheet or export file you provide. You are responsible for having the right to use any data you import, and for its accuracy. Imported data is labeled as lower-confidence than data tracked directly in the app, and is kept separate from your verified, in-app records.

6. Third-Party Services

The Service relies on third-party providers, including Supabase (hosting, authentication, and storage) and Anthropic (AI-generated reports). Your use of the Service may also be subject to the terms of the platform through which you obtained the app (such as the Apple App Store).

7. Development Reports Are Informational

Prospekt’s AI-generated development reports are provided for informational purposes only. They are generated from the data you record and do not constitute professional coaching, medical, or recruiting advice. You are responsible for how you use them.

8. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data or statistics will be accurate or complete.

9. Limitation of Liability

To the fullest extent permitted by law, W.D. Data Solution LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim, or twenty U.S. dollars ($20).

10. Indemnification

You agree to indemnify and hold harmless W.D. Data Solution LLC from claims, damages, and expenses (including reasonable legal fees) arising out of your misuse of the Service, your violation of these Terms, or your violation of the rights of another person, including any content or data you record or import.

11. Termination

You may stop using the Service and delete your account at any time from within the app. We may suspend or terminate access to the Service if you violate these Terms or to protect the Service or its users. Provisions that by their nature should survive termination (such as Sections 8–10) will survive.

12. Changes to the Service and These Terms

We may modify the Service or these Terms from time to time. When we make material changes to these Terms, we will update the “Effective date” above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect means you accept the updated Terms.

13. Governing Law

These Terms are governed by the laws of the United States and the State of Tennessee, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Tennessee will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to venue in those courts.
